Global business and technology transformation giant Capgemini today announced a definitive agreement to acquire WNS (Holdings) Ltd., a top digital-led business transformation and services company, for a total cash consideration of $3.3 billion. This strategic acquisition is set to create a global powerhouse in Agentic AI-powered Intelligent Operations, signaling a major leap in the evolution of business process services (BPS).
The deal, unanimously approved by both companies’ boards, values WNS at $76.50 per share, a significant premium over its recent trading prices. The transaction is expected to close by the end of the year, subject to regulatory and shareholder approvals.
Capgemini’s CEO, Aiman Ezzat, highlighted the pivotal role of Agentic AI in this acquisition. “Enterprises are rapidly adopting Generative AI and Agentic AI to transform their operations end-to-end. Business Process Services will be the showcase for Agentic AI,” Ezzat stated. He emphasized that the acquisition of WNS will provide Capgemini with the scale and vertical sector expertise to capitalize on this emerging strategic opportunity, shifting the paradigm from traditional BPS to autonomous, AI-driven operations.
WNS, with its robust portfolio of digital business process services and deep domain expertise across various industries including travel, insurance, banking, and retail, brings significant value to Capgemini. WNS CEO Keshav R. Murugesh commented, “As a recognized leader in the Digital Business Process Services space, we see the next wave of transformation being driven by intelligent, domain-centric operations that unlock strategic value for our clients. Organizations that have already digitized are now seeking to reimagine their operating models by embedding AI at the core, shifting from automation to autonomy.”
The combined entity is projected to generate combined revenues of €1.9 billion in Digital BPS for 2024. Capgemini anticipates immediate accretion to its normalized earnings per share, with a 4% increase before synergies in 2026, rising to 7% post-synergies in 2027. Furthermore, the acquisition is expected to unlock substantial cross-selling opportunities and strengthen Capgemini’s presence in the lucrative US market.
This acquisition underscores a broader industry trend where companies are increasingly investing in AI to drive operational efficiency and agility. By bringing together Capgemini’s strong AI and consulting capabilities with WNS’s proven digital BPS expertise, the combined entity aims to lead the charge in helping clients navigate the complex landscape of AI-powered business transformation, fostering a new era of autonomous and intelligent operations.
